Terms of service

These Terms of Use (“Terms”) govern the online shop provided on this website by 株式会社殼空間 (“the Company,” “we” or “us”), referred to below as the “Service.” Registered users (“users”) must use the Service in accordance with these Terms.

1. Application

These Terms apply to all relationships between users and the Company concerning use of the Service. We may establish additional rules or provisions for the Service (“Individual Provisions”), which form part of these Terms regardless of their title. If these Terms conflict with Individual Provisions, the Individual Provisions take precedence unless they state otherwise.

2. Registration

Registration is completed when an applicant agrees to these Terms, applies through our prescribed method, and receives our notice of approval. We may decline an application without being obliged to disclose our reasons if the applicant provides false information, has previously breached these Terms, or is otherwise considered unsuitable for registration.

3. User IDs and Passwords

Users are responsible for managing their user IDs and passwords. They may not transfer, lend or share them with any third party. A login using a matching registered ID and password will be treated as use by the registered user. Except in cases of our willful misconduct or gross negligence, we accept no liability for damage caused by third-party use of an ID or password.

4. Sales Contracts

A sales contract is formed when a user places an order and we notify the user that we accept it. Ownership of the goods passes to the user when we hand them to the delivery carrier.

We may terminate the contract without prior notice if the user breaches these Terms; delivery cannot be completed because the address is unknown or the recipient is absent for an extended period; or we determine that our relationship of trust with the user has otherwise been impaired.

Payment, delivery, cancellation and return procedures are governed by the methods we specify separately.

5. Intellectual Property

Copyright and other intellectual property rights in product photographs and other content provided through the Service belong to the Company or other lawful rights holders, including content providers. Users may not reproduce, republish, modify or otherwise reuse this content without permission.

6. Prohibited Conduct

Users must not:

  • Violate laws or public order and morals.
  • Engage in conduct connected with criminal activity.
  • Infringe copyrights, trademarks or other intellectual property rights associated with the Service.
  • Damage or disrupt our servers or networks.
  • Use information obtained through the Service for commercial purposes.
  • Interfere with the operation of our services.
  • Gain or attempt unauthorized access.
  • Collect or store personal information about other users.
  • Impersonate another user.
  • Provide benefits, directly or indirectly, to antisocial forces in connection with our services.
  • Engage in other conduct we consider inappropriate.

7. Suspension or Interruption

We may suspend or interrupt all or part of the Service without prior notice when maintaining or updating its computer systems; when provision is made difficult by force majeure such as earthquakes, lightning, fire, power outages or natural disasters; when computers or communication lines fail due to an accident; or when we otherwise determine that providing the Service is difficult.

We accept no liability, regardless of the reason, for disadvantages or damage suffered by users or third parties as a result of such suspension or interruption.

8. Restrictions and Deregistration

We may restrict all or part of a user’s access or cancel their registration without prior notice if they breach any provision of these Terms; provide false registration information; have their registered credit card suspended; fail to pay amounts due; do not respond to our communications for a specified period; do not use the Service for a specified period; or are otherwise considered unsuitable to use the Service. We accept no liability for damage resulting from actions taken under this section.

9. Closing Your Account

Users may withdraw from the Service through the prescribed account-closure procedure.

10. Disclaimer of Warranties and Liability

We do not warrant that the Service is free from factual or legal defects, including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose or security; errors or bugs; or infringements of rights.

We accept no liability for damage arising from the Service. This exclusion does not apply where the agreement between the Company and the user, including these Terms, constitutes a consumer contract under Japan’s Consumer Contract Act. Even in that case, however, we accept no liability for damage arising from special circumstances as a result of breach of contract or tort caused by our negligence, excluding gross negligence, even if we or the user foresaw or could have foreseen the damage.

We accept no liability for transactions, communications or disputes between users, or between a user and a third party, in connection with the Service.

11. Changes to the Service

We may change or discontinue the Service without notifying users and accept no liability for resulting damage.

12. Changes to These Terms

We may change these Terms at any time without notifying users when we consider it necessary. Use of the Service after a change constitutes acceptance of the revised Terms.

13. Personal Information

We handle personal information obtained through the Service in accordance with our Privacy Policy.

14. Notices and Communications

Notices and communications between users and the Company must use the methods we prescribe. Unless a user reports a change through our specified procedure, we will treat their current registered contact details as valid. Notices sent to those details are deemed received when sent.

15. Assignment

Users may not assign their contractual position or any rights or obligations under these Terms to a third party, or offer them as security, without our prior written consent.

16. Governing Law and Jurisdiction

These Terms are governed by Japanese law. The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Service. Any dispute relating to the Service is subject to the exclusive agreed jurisdiction of the court with jurisdiction over the Company’s registered head office.
